Introduction These Terms & Conditions (“Agreement”) govern the relationship between [Easy Online Marketing] and the Commission-Based Agent (“You”) who promotes, sells, or refers products/services of the Company under a commission model. By signing up or working as an Agent, you agree to comply with these Terms. 2. Appointment The Company appoints the Agent as a non-exclusive, independent contractor to promote and sell its products/services. No employer-employee relationship exists between the Company and the Agent. 3. Duties of Agent Promote and market Company products/services honestly and lawfully. Not make false claims, misrepresentations, or unauthorized commitments on behalf of the Company. Follow all company policies, marketing guidelines, and compliance rules. 4. Commission Structure The Agent shall earn a commission of [Percentage depends on product to product] on successful sales/orders completed through their unique referral code, link, or assigned customer account. Commission shall be calculated on net sales value (excluding taxes, discounts, refunds, or cancellations). If an agent purchases a product themselves, their commission will be deducted from the product price, additionally there will be no agent commission this product. The Company reserves the right to revise commission rates with [2 days] prior notice. 5. Payment Terms Commissions will be paid on a 10-day basis after completion of the return/refund window. Payments will be made via [Bank Transfer] as per details provided by the Agent. Minimum payout threshold: ₹ 500. 6. Refunds, Cancellations & Chargebacks If a customer cancels, returns, or if a transaction is deemed fraudulent, the related commission will not be paid or will be deducted from future payouts. 7. Obligations of the Company Provide marketing materials, referral codes, or other sales tools as needed. Track sales generated by the Agent through the Company’s platform. Ensure timely and accurate payment of commissions. 8. Compliance The Agent must comply with all applicable laws, including advertising, e-commerce, and consumer protection regulations. Spamming, misleading advertisements, or unauthorized use of Company’s brand name/logo is strictly prohibited. 9. Confidentiality The Agent agrees not to disclose or misuse Company’s confidential information, including customer data, pricing, or internal policies. 10. Term & Termination This Agreement shall remain in effect until terminated by either party. If the agent does not give business to the company, then the company can terminate the agent’s ID & Work. If the agent provides wrong information in the agent registration, then his work will not be counted by the company and he will not get any commission. Either party may terminate this Agreement by giving 1 day written notice. The Company may terminate immediately in case of fraud, breach of terms, or misconduct by the Agent. 11. Limitation of Liability The Company shall not be liable for any indirect, incidental, or consequential damage arising from the Agent’s activities. The Agent is solely responsible for their own taxes, expenses, and liabilities. 12. Governing Law & Jurisdiction This Agreement shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at City (Delhi), State (Delhi). 13. Acceptance By joining as a Commission-Based Agent, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
